In a strategic move that redefines the European aviation landscape, the Lufthansa Group<\/strong> has finalized the acquisition of 41% of Italy’s ITA Airways<\/strong>. This agreement marks a significant milestone for both companies and strengthens Lufthansa\u2019s position as the leader in the European market.<\/p>\n\n\n\n

Transaction Details<\/strong><\/p>\n\n\n\n

The transaction was concluded between the Italian Ministry of Economy and Finance (MEF) and the Lufthansa Group, following approval by the European Commission on November 29, 2024, as well as by other competition authorities outside the European Union. The initial investment, carried out through a \u20ac325 million capital increase, establishes Lufthansa as the primary minority shareholder, while the MEF retains the remaining 59%.<\/p>\n\n\n\n

Options to acquire the remaining shares have been agreed upon and could be exercised in the near future, further consolidating ITA Airways’ integration within the Lufthansa Group.<\/p>\n\n\n\n

With this acquisition, Italy becomes a new home market for Lufthansa, which already considers the country its second most important international market after the United States. Rome-Fiumicino Airport, recognized as a five-star airport by Skytrax, will become the group\u2019s sixth hub, while Milan-Linate Airport will play a pivotal role in connecting the economically strong northern Italian region.<\/p>\n\n\n\n

The frequent flyer programs of both airlines will be integrated, allowing ITA travelers to earn and redeem miles in Lufthansa\u2019s renowned \u201cMiles & More\u201d program. Additional collaborations, such as codeshare flights, mutual lounge access, and ITA\u2019s potential membership in the global Star Alliance, are also planned.<\/p>\n\n\n\n

The Italian airline, which operates a modern fleet of 99 aircraft\u2014including sustainable models such as the Airbus A350-900 and A330-900neo\u2014connects nearly 70 destinations worldwide. In 2024, it transported approximately 18 million passengers, solidifying its position as a key player in international aviation.<\/p>\n\n\n\n

ITA Airways’ integration into the Lufthansa Group is supported by an experienced leadership team. Joerg Eberhart, the new CEO of ITA Airways, along with Lorenza Maggio as Chief Strategy and Integration Officer and Michael Trestl as Implementation Officer, will ensure a smooth transition and the airline\u2019s continued growth within the group.<\/p>\n\n\n\n
