Condor Overhauls Shareholder Structure Following German State Exit

German leisure carrier Condor is reorganizing its shareholder structure. The move follows the early repayment of the state aid package received by the airline, which was fully settled in the spring of 2026.

As a result of this repayment, the 49% stake held to date by SG Luftfahrtgesellschaft—acting on behalf of the Federal Republic of Germany and the State of Hesse—will be restructured. This development formalizes the exercise of the call option agreed upon in 2021, when long-term investor Attestor initially entered the airline’s capital to acquire those shares.

According to the corporate timeline, the transaction is scheduled to close on August 31, 2027.

Closing the Chapter on Bailout and Stabilization

This milestone marks the culmination of a critical period in the German carrier’s corporate trajectory, triggered by:

  • The bankruptcy and liquidation of its former parent company, Thomas Cook.
  • The unprecedented operational and financial fallout caused by the COVID-19 pandemic.

Throughout that period, both the German Federal Government and the State of Hesse played an instrumental role in financially stabilizing the airline against external crises unrelated to its core operational management. Since coming on board in 2021 as a long-term investor, Attestor has actively backed and steered the carrier’s strategic roadmap.

Fleet Renewal Strategy and Strengthening the Frankfurt Hub

Alongside its capital restructuring, Condor is pressing ahead with its operational transformation program:

  • Long-haul fleet renewal: Completion of the full rollover of its widebody/transoceanic fleet in recent years.
  • Short- and medium-haul fleet: Ongoing expansion and modernization of its narrowbody fleet deployed across regional and medium-haul sectors.
  • Network connectivity and feeder traffic: Sustained development of its point-to-point network in primary catchment areas to feed connecting traffic into its primary base and main hub at Frankfurt Airport.

The final closing of the share transaction in August 2027 will cement Condor’s corporate governance under Attestor’s strategic steering.
