Low-cost carriers Spirit Airlines and Frontier Group have reopened negotiations for a potential merger, two years after their initial attempt failed to materialize. The news, revealed in a securities filing on Wednesday and reported by Reuters, comes at a critical time for Spirit, which is facing financial difficulties after filing for bankruptcy in November of last year.

Details of Frontier’s New Offer

Frontier has proposed to acquire Spirit with an offer that includes $400 million in debt and a 19% stake in Frontier, valuing the transaction at approximately $2.16 billion. However, Spirit rejected the initial proposal, calling it “inadequate and unfeasible.” The airline stated that it would be willing to consider a revised proposal that addresses its key concerns, including ensuring that the merger can be completed without issues.

“If they wish to present a revised proposal that can actually be closed and addresses the material deficiencies, we would be delighted to consider it and work again to engage with our shareholders,” Spirit said in its official communication.

In 2022, Spirit had agreed to a merger with Frontier to form a new low-cost airline. However, JetBlue Airways intervened with a cash offer, sparking an intense acquisition battle. Ultimately, JetBlue emerged victorious in the bidding, but the transaction was blocked last year by a U.S. judge due to antitrust concerns, leading to the cancellation of the deal.

Following the failed merger with JetBlue and a buildup of financial losses, Spirit was forced to file for bankruptcy in November 2024. Currently, the airline expects to complete its restructuring process during the first quarter of this year.
