Aena, through its subsidiary Aena Desarrollo Internacional, has been declared the winner of the public auction for the concession of Rio de Janeiro–Galeão International Airport. With a bid of 2.9 billion reais, the Spanish company secures the management of Rio de Janeiro’s primary gateway and reinforces its position as the largest private airport operator in the South American nation.
Transaction Details and Financial Structure
The award took place at the São Paulo Stock Exchange (B3) under a process for the assisted sale of 100% of the current concessionaire. The financial operation will be structured as follows:
- Financing: A portion will be covered by Aena’s own equity, with the remainder funded through a loan from a local financial institution, without recourse to the parent company in Spain.
- Term: The concession extends until May 2039.
- Timeline: The operational transfer is expected to be completed in the second half of 2026, following regulatory approvals and the fulfillment of tender specifications.
Galeão: A Strategic Asset by the Numbers
Galeão International Airport is not only a major tourism hub but also a vital logistical node for the region. According to 2025 operational data, the airport stands out for its market robustness:
- Passenger Traffic: It recorded 17.8 million passengers, consolidating its rank as the third-busiest airport in Brazil.
- International Connectivity: With 5.7 million international travelers, it is the country’s second-largest aerial gateway, surpassed only by Guarulhos Airport in São Paulo.
- Cargo Sector: It handled approximately 68,000 tons, positioning it as the third most important Brazilian airport for imports and exports.
A key aspect for the operation’s profitability is that the current infrastructure possesses sufficient capacity to absorb projected traffic through the end of the concession. This exempts the company from contractual obligations regarding new capital expenditure (CAPEX) investment plans.
Market Leadership in Brazil
With the incorporation of Galeão, Aena Brasil will operate a network of 18 airports, managing high-relevance assets such as Congonhas Airport in São Paulo and Recife Airport.
The company’s strategy is based on a network model that manages everything from major international hubs to regional airfields and general aviation facilities. This approach allows for the generation of operational synergies and increases efficiency in managing diverse infrastructure.
