Brazil’s antitrust watchdog, the Administrative Council for Economic Defense (CADE), cleared on Wednesday American Airlines’ $100 million investment in Azul Linhas Aéreas. Following this capital injection, the US carrier secures an approximate 8% minority stake in the Brazilian airline.
The definitive clearance was not granted unconditionally. The antitrust authority formally tied its sign-off to compliance with a specific regulatory framework:
- Execution and Compliance with the ACC: The transaction was made conditional upon the signing of and full compliance with a Merger Control Agreement (Acordo em Controle de Concentrações – ACC) between CADE and the involved parties.
- Direct Legal Enforceability: As stated by the regulatory agency, this legal instrument converts safeguards that were previously private contractual terms into obligations directly enforceable before CADE.
Abra Group Opposition and Overruled Appeal
The clearance process faced pushback within the industry. Although CADE’s technical staff had already issued an initial favorable opinion on the transaction, the ruling was appealed by Abra Group.
Abra Group is the holding company that controls Brazilian carrier Gol, which maintains a long-standing commercial partnership with American Airlines itself. Despite the challenge, CADE’s highest administrative tribunal resolved to uphold the conditional approval.
Financial Context: Azul’s Post-Chapter 11 Restructuring
This capital injection comes amid the South American carrier’s financial turnaround. Azul emerged from US Chapter 11 bankruptcy protection in February after concluding an overarching restructuring that included strategic investments from US carriers, notably United Airlines and American Airlines.
With the Brazilian regulator’s final clearance, the strategic and financial partnership between American Airlines and Azul takes a definitive step forward in the regional airline market.
