Azul and Gol, two of the main players in the Brazilian airline market, announced the end of talks for a potential merger that they had been exploring since April 2024. The announcement was made jointly with Abra Group, the holding company that includes carriers such as Gol and Avianca.
Negotiations Without Progress
In a statement, both parties explained that the decision was due to a lack of concrete progress in the process. For several months, there were no significant discussions or relevant advances towards a business combination transaction, a situation attributed directly to the financial restructuring process that Azul is undergoing.

Role of Abra Group
Despite closing this chapter, Abra Group expressed its willingness to resume dialogue in the future. The company emphasized that it still sees value in a potential integration between Azul and Gol and maintains its interest in exploring synergies if conditions allow.
Previous Agreements
The path towards this potential merger began on April 12, 2024, when both companies signed a confidentiality agreement to open discussions. Subsequently, on January 15 of this year, a memorandum of understanding was ratified, through which Abra Group committed to continuing discussions while Azul progressed with its restructuring.
The end of the negotiations represents a setback for the sector’s expectations, which saw the union of these two airlines as an opportunity to consolidate routes, reduce costs, and strengthen competitiveness against other regional players.
